Terms of Service - International Master Chefs LTD

 

1. Definitions and Acceptance of the Terms

1.1. Definitions:

  • Terms: The Terms of Service outlined in the contract, constitute the agreement between the International Master Chefs LTD and the Client regarding staff generation services.

  • Client: Any individual or entity entering this agreement with International Master Chefs LTD by using the services, signing up for an account at www.InternationalMasterChefs.com, or entering into a Client Services Agreement.

  • International Master Chefs LTD, is the service provider offering staff generation services to the Client under this agreement.

  • Staff Generating Service: The service provided by International Master Chefs LTD, including generating and providing prospective customer contact details (Staff) to the Client for a fee.

  • The Platform(s): The digital infrastructure operated by the International Master Chefs LTD to facilitate the provision of potential staff’ contact details to the Client.

  • Prospective Staff: An individual whose contact details have been generated by the International Master Chefs LTD through various strategies and provided to the Client for potential employment engagement.

  • Staff: A Prospective Staff whose contact details have been shared with the Client International Master Chefs LTD, whom the Client can contact for employment purposes.

  • Employee: An individual or entity that has become an employee of the Client, potentially after being introduced as a Staff through the International Master Chefs LTD services.

  • GDPR and Compliance: The Client’s responsibility to handle the contact details of Staff in compliance with the General Data Protection Regulation and other applicable laws.

  • Service Fee: Additional fees that may be charged by International Master Chefs LTD for specialized services or due to the complexity of the Client’s staff generation campaign, outside standard service plans.

  • Facilitation Services: The role of the International Master Chefs LTD as a facilitator in the referral of Staff to the Client, without the International Master Chefs LTD entering into any service contracts with the Staff.

  • Subscription Fees: Fees paid by the Client to International Master Chefs LTD on a monthly basis to access the Staff Generation Services and other services provided by International Master Chefs LTD.

  • Intellectual Property: All copyright and design rights in materials, data, or information provided to the Client by International Master Chefs LTD, as well as all content and information on the Platform, which remain the property of International Master Chefs LTD.

  • Confidential Information: Any information provided by International Master Chefs LTD or concerning International Master Chefs LTD affairs, as well as any information provided by the Client designated as confidential, which must be kept secret unless it enters the public domain or disclosure is required by law.

  • Account: The account created to the Client on the International Master Chefs LTD Platform, accessed using a User ID and subject to confidentiality and security obligations outlined in the Terms.

  • Campaign Budget: The budget allocated by the Client for advertising spend, managed by the International Master Chefs LTD to generate staff through various services and platforms, including in-house services and third-party platforms like Meta, Google or others.

  • Informal Assurances: Non-binding commitments made by International Master Chefs LTD about how Subscription Fees will be allocated to improve results.

1.2. Acceptance: By using any of our services, including signing up/logging into an account on our platform at www.InternationalMasterChefs.com or other supportive third-party platforms related to International Master Chefs LTD or entering into a Client Services Agreement, you accept these Terms of Service ("Terms").

1.3. The Contract: These Terms form a legally binding agreement between you ("Client") and International Master Chefs LTD ("us" or "we"), governing the provision of staff generation services by International Master Chefs LTD.

1.4. Authority: If you're entering these Terms on behalf of an entity, you represent that you have the authority to bind that entity to this agreement.

1.5. Age and Capacity: You affirm that you are at least 18 years of age and fully competent to enter into this agreement.

1.6. Privacy Policy: Acceptance of these Terms also signifies acceptance of our Privacy Policy. Both documents are subject to updates, which will be effective upon posting.

1.7. Client Services Agreement: A separate Client Services Agreement may be executed; these Terms take precedence in case of conflict.

1.8. Headings: Section headings are for reference and do not influence the interpretation of these Terms.

1.9. Legislation: References to legal provisions include amendments and successors of those provisions.

1.10. Amendments: We reserve the right to amend these Terms. Your continued use of our services signifies acceptance of the new terms.

 

2. Service Description and Usage

2.1. Staff Generation Service: Upon acceptance of these Terms by you, and in exchange for the Fees, International Master Chefs LTD will provide contact details of staff they generate to you from time to time.

2.2. The Platform: International Master Chefs LTD operates the Platform to facilitate the provision of potential employees’ contact details to the Client.

2.3. Staff Acquisition: We employ various staff generation strategies to provide Prospective Employee details to you. The methods, external providers, costs, and amounts spent to provide this service are at the International Master Chefs LTDdiscretion. International Master Chefs LTD retains the final decision on service delivery. The allocation of advertising spend will be variable and sector-specific, with no commitments regarding manner or amount. Adjustments may be made based on performance data. The goal is to use the Client's budget efficiently to generate the best results.

2.4. Client Registration on Platform: You will have the right to access Prospective Employees yielded by our marketing efforts on our Platform. International Master Chefs LTD will share the contact details of Prospective Employees, who will then be known as Staff, for you to contact.

2.5. Our Relationship with your Staff: Should the Staff become an Employee, you may or may not enter into a separate contract with them. An Employee is an employee of the Professional, not of the International Master Chefs LTD.

2.6. Client Job Posts: Upon acceptance of our Terms, International Master Chefs LTD shall create a Job Post for the Client to capture the Prospective Employee's details. Once they fill in their details, they become Staff and are stored in the client Account on the Platform.

2.7. GDPR and Compliance Responsibility: Once you have the contact details of a Staff, managing GDPR compliance and handling Staff correctly is entirely the client's responsibility. Ensure any communication or work complies with all applicable laws, guidance, and regulations.

2.8. Unique Sectors and Additional Fees: Additional Service Fees may apply for certain Clients due to scope, complexity, or specific demands requiring specialized professionals or services. Although initially a Service Fee may not be deemed necessary, we reserve the right to engage additional experts and resources as required to enhance the campaign's performance, at which point a Service Fee may become applicable.

2.9. Facilitation Role: International Master Chefs LTD acts as a facilitator of Staff, with services provided by the Client subject to a separate legal contract. Any issues with service performance by the Client will be addressed directly between the Employee and the Client.

 

3. Service Quality

3.1. Standard of Service: We will provide our services with reasonable skill and care.

3.2. Warranty Exclusion: Unless expressly stated otherwise, all warranties, conditions, and other terms implied by law are excluded from these Terms.

3.3. No Guarantee of Success: International Master Chefs LTD does not guarantee that you will be hired by a Prospective Employee or Staff. Our role is only to provide the opportunity to make contact with Staff. No refunds will be issued if a job is not secured.

3.4. Variability of Service Quality: Staff quality may vary due to factors outside of International Master Chefs LTD control, including market changes and consumer behaviour. International Master Chefs LTD offers no guarantees regarding the number of staff, conversion rates, sales potential, or qualitative measures. International Master Chefs LTD is not liable for staff quality variations or any resulting losses.

 

4. Marketing Material and Representations Disclaimer

4.1. Representations Disclaimer: The Client acknowledges that marketing materials, promotional content, verbal or written communications, or representations by International Master Chefs LTD team members are not legally binding. The only binding representations, warranties, and obligations are those explicitly stated within the signed Client Services Agreement, Onboarding Agreement, or these Terms. No reliance on outside statements or materials shall have any legal effect or alter the terms of such agreements.

5. Client Obligations

5.1. Service Standards and Compliance: You are required to ensure all services provided to your Staff are delivered with high care, integrity, and quality. This includes adherence to all relevant laws, regulations, and guidelines, especially regarding data privacy, consumer rights, and health & safety.

5.2. Cooperation and Communication: You agree to fully collaborate with International Master Chefs LTD regarding the Staff Generation Service, providing necessary and accurate information promptly. You must adhere to the Terms of our platform and follow all policies and guidelines, which may be updated periodically. You must meet any vetting requirements and clearly communicate to your customers that services are provided by you, not International Master Chefs LTD, to avoid confusion.

5.3. Legal Compliance: You must comply with all laws and regulations related to anti-bribery and anti-corruption, including the Bribery Act 2010. It is your responsibility to understand and abide by these legal requirements in all dealings and services provided through our Platform.

6. Service Provision and Fees

6.1. Access to Services and Fee Requirements: To utilize our Staff Generation Services and access the Staff we generate for your business, payment of Fees is required. These Fees, along with any applicable VAT (or its local equivalent), are detailed in the Service Agreement you confirmed upon starting with our service.

6.2. Monthly Fee Payments: Fees are due on a monthly basis.

6.3. Additional Fees: You agree to pay all Fees, including but not limited to service fees and other services we believe are required, within reason, that will enable us to fulfill our contractual obligations.

6.4. Billing in Advance: Unless otherwise specified, Fees will be billed in advance for each month and are non-refundable.

6.5. Changes to Our Prices: We reserve the right to modify our billing rates (plans) at any time by posting these fee changes to our site. Should you continue to use the Services after these changes go into effect, you will be responsible for paying the new Subscription Fee.

6.6. Upgrades & Downgrades:

  • If you upgrade to a higher-level Subscription during the Subscription Period, you agree to pay International Master Chefs LTD the difference between your original Subscription fee and the cost of the upgrade.

  • If you downgrade to a lower-level Subscription during the Subscription Period, you will not receive any form of credit or refund to your Account.

6.7. Storage of Payment Details: By entering a card number, you agree that International Master Chefs LTD, and our third-party service providers, may store your payment card information. You expressly authorize us to charge you, where applicable:

  • Subscription Fees, to be billed during a Subscription Period

  • Other fees for Services purchased, including but not limited to Service Fees

  • Taxes connected with your use of the Services

6.8. Our Collection Costs: You agree to reimburse us, where applicable, for all collection costs and interest for any overdue amounts. If the payment card you provide expires and you do not update your payment card information or cancel your Subscription, you authorize us to suspend your Account on our Platform and agree that we will be released from any outstanding contractual obligations until your Fees balance has been paid. If any form of Dispute is created overpayment, you agree that an additional administration fee of £150.00 GBP is due and payable with immediate effect. This fee is due to staffing costs associated with handling disputes and would be in addition to all collection costs, interest, and any overdue amounts.

6.9. Personal Guarantee: You agree to personally guarantee all outstanding payments. You agree that you shall unconditionally pay, on demand, should the International Master Chefs LTD demand it from you in writing. This payment would be expected within seven (7) days. You agree that in this circumstance, you would personally owe International Master Chefs LTD an amount equal to all of the amounts payable.

6.10. Staff Generation and Access: You can view the staff we've generated for you through our Platform. We endeavour to generate staff based on your subscription plan within the parameters outlined by your monthly fee.

6.11. Subscription Terms and Cancellation: Fee subscriptions are committed to a minimum term that prohibits cancellation or reduction of the monthly fee. This minimum term is specified in the Client Services Agreement. Following this term, your subscription becomes flexible, permitting cancellation with 7 days' notice. You can do this by sending an email to Office@InternationalMasterChefs.com, from an email address affiliated with your Platform account. If seven (7) days' notice isn’t given, billing for the next month will be processed automatically if the next billing date is within that period.

6.12. Cancellation by International Master Chefs LTD: International Master Chefs LTD reserves the right to terminate this Agreement at any time, for any reason, at our sole discretion, without liability. A reason for such termination may include, but is not limited to, failure to comply with these Terms. International Master Chefs LTD reserves the right to modify, suspend, or discontinue the Platform and/or Services, or any portion thereof, at any time and for any reason, with or without notice.

6.13. Cancelling Due to Unforeseen Circumstances: Either party may terminate the relationship and contractual commitments at any time with 7 days’ notice if:

  • The other party takes any step or action in connection with entering administration, provisional liquidation, or any composition or arrangement with creditors (other than in relation to a solvent restructuring), being wound up, having a receiver appointed to any of its assets, or ceasing to carry on its business.

  • The other party suspends or threatens to suspend or cease or threatens to cease carrying on all or a substantial part of its business.

  • The other party’s financial position deteriorates to such an extent that, in the terminating party’s opinion, the other party’s capability to adequately fulfill its obligations under these Terms of Service has been placed in jeopardy.

6.14. Informal Assurances: At International Master Chefs LTD, we may sometimes make informal assurances regarding the allocation of your Subscription Fees to maximize your results. For instance, we might inform you that a certain amount of money spent with us will be allocated to a particular platform, channel, or method during a specific period. While we strive to fulfill these informal assurances, please note that they are not contractually binding unless explicitly stated in the Client Services Agreement, in which case they become a contractual obligation. Any informal assurances are subject to the following conditions:

  • You must remain a customer for at least three months (the initial contractual period) and have paid the first three (3) Subscription Fees. All payments must be made on time during the initial contractual period.

  • You must actively provide feedback on the leads we generate by adding comments on any new leads in your portal.

  • If, at the end of the initial three-month period, we have not fulfilled an informal assurance, we will continue to work towards fulfilling it at no additional cost. We will aim to fulfill our assurance as quickly as possible while ensuring the most effective approach to maximize your results. During this period, you will not be charged, and you will remain an active customer until we have fulfilled our assurance. If you cancel your account, any informal assurances will no longer be valid after three months from the date of cancellation. However, if you reactivate your account within three months of cancellation, you can request that we fulfill any previously made informal assurances. If you are an active customer or a customer who canceled their account within the last three months, you can inquire about the status of any informal assurances by emailing us at Office@InternationalMasterChefs.com. We will provide you with an estimated timeframe for fulfilling the assurance and inform you of how much remains to be allocated to the particular platform, channel, or method.

6.15. Our Contractual Commitments: To be eligible for any guarantees or contractual commitments outlined in your Client Services Agreement or Terms, or any other contractual commitment that we have made, the Client must adhere strictly to the contracted term without any cancellations within the first three (3) months of service commencement. The Client must have paid the full balance, on schedule, that they contractually agreed to pay International Master Chefs LTD over the term and must still be an Active Client with International Master Chefs LTD seven (7) days after the final day of their initial 3-month commitment. Failure to comply with these conditions, including any attempt to cancel the contract within the first three (3) months and not being an Active customer seven days after the end of this period, will render any previously stated guarantees or contractual commitments null and void. In the event that International Master Chefs LTD fails to fulfill all of its contractual obligations and the specified conditions above occur, International Master Chefs LTD will not face any penalties. However, International Master Chefs LTD is obligated to complete the delivery of its remaining outstanding contractual commitments to the customer without imposing any additional fees, ensuring that everything is delivered.

6.16. Refunds: Due to the nature of the services provided, all Fees are non-refundable under any circumstance.

6.17. Partial Refunds: You agree that you will not be refunded or credited for partial months of service.

6.18. Service Pause or Cancellation Initiated by International Master Chefs LTD: We reserve the right to temporarily or indefinitely pause our services at our sole discretion, should we observe behavior from the client that we deem unusual or suspicious. Such behaviors include, but are not limited to, actions that lead us to believe the client may initiate a Dispute, or evidence suggesting that the client is not adequately servicing the leads provided by us. This clause is in place to safeguard the integrity of our services, manage our risk, and protect the interests of both parties.

7. Intellectual Property Rights

7.1. Intellectual Property Ownership: All intellectual property rights, including copyright and design rights, in any materials, data, or information provided to you by International Master Chefs LTD, as well as in all content and information on the Platform (notwithstanding the rights of any third parties), are and shall remain the property of International Master Chefs LTD. The services we provide and the work we perform are effectively leased to you for the term of our engagement.

7.2. Use of Our Intellectual Property: For as long as you adhere to this Agreement and are an Active Client, International Master Chefs LTD grants you a non-transferable, non-sublicensable, non-exclusive, revocable, limited purpose right to use our Intellectual Property.

 

8. Data Protection

8.1. Our Policies: Please see our Privacy Policy and Cookie Policy for more information on how your personal information will be used.

 

9. Liability

9.1. Indemnification: You acknowledge that, while you are contractually responsible for your service to the Staff we generate for your business, failure to meet your obligations may damage International Master Chefs LTD's reputation. Consequently, you agree to fully indemnify International Master Chefs LTD for any and all losses, liabilities, costs, damages, and expenses incurred or suffered, including but not limited to direct, indirect, and consequential losses. This indemnity covers any claims or proceedings, whether actual or threatened, made against International Master Chefs LTD by any party (including Employees) due to your failure to meet your obligations under Clause 2.

9.2. Limitation of Liability: Except as detailed in Clause 9.4, the total liability of International Master Chefs LTD under these Terms and Conditions shall not exceed the total Fees paid to International Master Chefs LTD in the twelve months preceding the claim.

9.3. Exclusions of Liability: Subject to the provisions of Clause 9.4, International Master Chefs LTD will not be liable for any:

  • Direct, indirect, or consequential loss of profits, sales, business, or data;

  • Loss of or damage to goodwill, reputation, or opportunity;

  • Liabilities to third parties, including Employees;

  • Loss of use or value of data or software;

  • Any other indirect or consequential losses.

9.4. Exceptions: Nothing in these Terms and Conditions shall limit or exclude liability for any liabilities which cannot be lawfully excluded or limited.

9.5. Third Parties: You acknowledge and agree that International Master Chefs LTD is not responsible or liable for any third-party content linked to from the Platform or Services. This includes but is not limited to accuracy, integrity, quality, usefulness, legality, safety, and intellectual property rights. The inclusion of such linked content in no way indicates endorsement by, or association with, International Master Chefs LTD.

9.6. Clarification on Liability:

International Master Chefs Ltd makes no representations or warranties about the suitability, reliability, availability, timeliness, security, or accuracy of the site, services, or data made available from the services. Your use of the site or services, and all content, material, and third-party software and content are at your sole responsibility and risk. The site and services are provided on an “as is” and “as available” basis. International Master Chefs Ltd disclaims any warranty that the site, the services, or any content, including, without limitation, any third-party software and content, will meet your requirements or be uninterrupted, timely, secure, or error-free, and that defects will be corrected. You agree that from time to time, International Master Chefs Ltd may remove the site or cease providing the services for indefinite periods without prior notice or notification. Your access to and use of the site and services may be interrupted or suspended from time to time for any reason, including, but not limited to, equipment malfunctions, periodic updating, maintenance or repair of the site or services, or other actions that International Master Chefs Ltd, in its sole discretion, may elect to take. You acknowledge and agree that you are not entitled to damages or any other form of compensation or relief when outages, delays, downtime, malfunctions, security or system breaches, or other interruptions of service occur.

International Master Chefs Ltd makes no guarantee regarding:

(a) The number of visitors, views, or staff on any of your job posts, or
(b) The compatibility of any software, hardware, or content with the site or services.

 

   You are not entitled to compensation, refunds, credits, damages, or any form of relief should the site or services not meet your expectations. You are solely responsible for ensuring that your content is compatible with the site and/or services. International Master Chefs Ltd disclaims any liability or responsibility for any unauthorized use of your content by third parties or other users of the site or services and is not responsible for protecting your content. International Master Chefs Ltd is not responsible for the acts, omissions, or failures of any third-party content, service, network, or software or hardware provider, including but not limited to internet service providers, hosting services used by International Master Chefs Ltd, telecommunications providers, content provided by other users, or any software or hardware not provided by International Master Chefs Ltd.

   Any material downloaded or otherwise obtained through the use of the site or services is done at your own discretion and risk. You agree that you, solely, are responsible for any damage to your computer system or other device, and/or for any loss of data that may result from the download of any such material. No advice or information, whether communicated orally or in writing, from International Master Chefs Ltd employees or via the site or services, shall create any warranty not expressly stated in this agreement. The site and services are offered and controlled by International Master Chefs Ltd from its facilities in the United Kingdom. International Master Chefs Ltd makes no representations that the site or services are appropriate or available for use in other locations. Those who access or use the site or services from other jurisdictions do so at their own risk and are responsible for compliance with local law.

   You agree that neither International Master Chefs Ltd nor its owners, officers, directors, affiliates, contractors, licensors, employees, or agents, will be held liable to you or any third party acting on your behalf for any tangible or intangible damages or losses arising from or relating to this agreement, your use of or inability to use the site or services, or your use of third-party materials, content, or services. International Master Chefs Ltd will not be held responsible for any damages, liabilities, losses, or other consequences that you may incur in the event that the site and/or services are modified, suspended, or discontinued. In no event shall International Master Chefs Ltd and its affiliates’, representatives’, officers’, directors’, stockholders’, employees’, or agents’ aggregate liability for all claims, whether in contract, tort, or any other theory of liability, exceed the cost of the customer’s subscription.

10. Information & Confidentiality

10.1. Confidentiality: Any information provided by International Master Chefs LTD or concerning International Master Chefs LTD's affairs shall be kept confidential by you, and all information provided by you which is designated as confidential shall be kept confidential by International Master Chefs LTD. This does not apply to documents, materials, data, or information that enter the public domain (other than where disclosure is required by law or regulatory authority).

10.2. Use of Brand Name and Trademarks: The Client shall not use International Master Chefs LTD’s brand name, trademarks, service marks, or logos for any promotional or publicity purposes without express written consent from International Master Chefs LTD.

 

11. Your Profile Information and Account

11.1. How you access our services: Your User ID is the only way to log in and access your Account. You are responsible for maintaining the confidentiality of your User ID and agree to provide true, accurate, current, and complete information about yourself or the entity you represent. You are solely responsible for all activities that occur within your Account on our Platform. If you become aware of any unauthorized use of your Account or Profile Information, you must notify International Master Chefs LTD immediately. It is your responsibility to update or change any Account or Profile Information as needed or desired.

11.2. Billing Information: Billing information may only be provided by the card owner. International Master Chefs LTD disclaims all liability where the ownership of the card or bank accounts is disputed and will not participate or play any role in such disputes. International Master Chefs LTD will automatically charge the card on file; should the billing information be changed, the new credit card will be charged. International Master Chefs LTD will automatically charge the card(s) on file in accordance with our Client Services Agreement and these Terms of Service.

 

12. Our Service

12.1. Our Platform: "Our Platform" refers to the digital platforms created by International Master Chefs LTD to service the Client and provide staff. This is not to be confused with platforms owned by other entities.

12.2. Campaign Budget: The term "campaign budget" or "advertising spend" within this Agreement pertains solely to the services International Master Chefs LTD provides, with all decisions on the methods, providers, and costs at International Master Chefs LTD's discretion. While client requests are considered, final decisions on service delivery rest with International Master Chefs LTD. Clients acknowledge that advertising spend allocation across platforms will vary based on sector-specific strategies, without guaranteed expenditure levels or methods. International Master Chefs LTD reserves the right to adjust campaigns based on performance data.

12.3. Our Strategy: International Master Chefs LTD’s strategy involves distributing the campaign budget across various services and platforms, including in-house services and external third-party platforms, aiming for the most effective use of what the Client spends to achieve optimal campaign results.

 

13. General Provisions

13.1. Assignment and Subcontracting: These Terms and Conditions are personal to you, and you will not assign, transfer, or subcontract any of your rights or obligations without International Master Chefs LTD’s prior written consent.

13.2. Notices: Any notice required or permitted to be given by either party to the other under these Terms and Conditions must be in writing and addressed to the other party at its trading address or such other address as may have been notified to the other party.

13.3. Relationship of Parties: Nothing in these Terms and Conditions is intended to, or shall be deemed to, establish any partnership or joint venture between the parties, constitute one party the agent of the other, or authorize a party to make or enter into any commitments for or on behalf of the other party. The parties acknowledge and agree that each of them is an independent contractor, and nothing in these Terms and Conditions shall render either party (nor any staff of a party) an employee of the other.

13.4. Severability: If any provision of these Terms and Conditions is held by any competent authority to be invalid or unenforceable in whole or in part, the validity of the remainder of the provisions in question shall not be affected.

13.5. Governing Law and Jurisdiction: These Terms and Conditions will be governed by English and Welsh law and shall be subject to the exclusive jurisdiction of the English and Welsh courts.

13.6. Dispute Resolution: You agree that any disputes with International Master Chefs LTD regarding this Agreement, the Platform, or the Staff Generation Service will be governed by the laws of England and Wales. International Master Chefs LTD can enforce this Agreement with equitable remedies, without needing to prove monetary damages. Claims related to these Terms must be made within 12 months from when they first arise.

13.7. Non-Waiver: If International Master Chefs LTD does not exercise or enforce a legal right or remedy contained in the Agreement or under applicable law, this is not a waiver of International Master Chefs LTD rights. Those rights or remedies will still be available to International Master Chefs LTD should we choose to exercise them.

13.8. Entire Agreement: This Agreement replaces and supersedes any other prior or contemporaneous agreement, representation, or discussion, oral or written, and may not be changed except in writing, and signed by us.
